Terms of Service

These Terms of Service ("Terms") govern your access to and use of Boidwatch, operated by Boidwatch ("we", "us", "our"). By creating an account or using the service, you agree to these Terms.

1. The service

Boidwatch is an autonomous web evaluation engine. It dispatches LLM-driven persona agents running headless browsers to explore web interfaces you specify, capture behavioral traces, and produce comparative reports. The service is provided via app.boidwatch.com.

During the beta period, features, pricing, API contracts, data formats, and availability may change at any time without prior notice.

2. Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law to use Boidwatch. By signing up, you represent that you meet these requirements.

3. Accounts

You are responsible for maintaining the security of your account. Magic-link authentication is the primary mechanism. Do not share your sign-in links. You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abuse, or use the service in ways that harm others or our infrastructure.

4. Acceptable use

You agree not to use Boidwatch to:

• Evaluate websites you do not own or have explicit permission to test.
• Conduct automated attacks, scraping operations, or denial-of-service activity against third-party services through our browser agents.
• Submit credentials belonging to accounts you do not own or have authorization to use.
• Process, store, or submit the personal data of third parties without appropriate legal basis.
• Violate any applicable law, including computer fraud statutes (e.g. CFAA, Computer Misuse Act) or intellectual property law.
• Reverse-engineer, circumvent, or attempt to gain unauthorized access to our systems.
• Resell or sublicense the service without our written permission.

You are solely responsible for ensuring you have authorization to run agents against any URLs you submit. We do not verify authorization for target URLs.

5. Credits and billing

The service operates on a credit-based wallet system. Credits are purchased through Stripe and are non-refundable except as expressly stated or required by applicable law. One credit typically corresponds to one agent session; the exact cost per run is displayed before submission. Runs requiring in-session authentication consume credits at a 2× rate to reflect the additional processing involved.

We do not offer pro-rated refunds for unused credits. Unused credits do not expire during the beta period but may be subject to an expiry policy introduced at general availability with reasonable notice.

Payment processing is handled by Stripe. You agree to Stripe's terms of service in addition to ours.

6. Your content

"Your content" means the URLs, goals, configuration, and any credentials you provide to the service. You retain ownership of your content. By submitting it, you grant us a limited, non-exclusive license to use it solely to operate the service on your behalf.

Evaluation outputs (behavioral traces, screenshots, reports) are associated with your account. You own them. We may use aggregate, anonymized, non-attributable data derived from the service to improve our models and product.

7. Intellectual property

Boidwatch and its underlying technology, including the persona engine, orchestration system, and report format, are owned by Boidwatch and protected by applicable intellectual property law. These Terms do not grant you any rights to our technology beyond what is needed to use the service.

8. Privacy

Our Privacy Policy describes how we collect and handle your data and is incorporated into these Terms by reference.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE.

BETA DISCLAIMER: During the beta period, the service may be taken offline without notice, data may be lost, and features may be removed or altered. Do not rely on the service for critical business decisions without independent verification.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOIDWATCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

11. Indemnification

You agree to indemnify and hold harmless Boidwatch and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the relationship at any time. You may delete your account via your profile settings or by contacting support@boidwatch.com. We may suspend or terminate your access for violations of these Terms, abuse, or for any reason during the beta period with reasonable notice.

Upon termination, your right to access the service ceases. Data deletion follows the schedule described in our Privacy Policy.

13. Governing law and disputes

These Terms are governed by the laws of the United States, without regard to its conflict-of-law principles. Any disputes shall be resolved in the applicable courts in the United States, unless applicable law requires otherwise.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email with reasonable notice. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
